These Terms of Service ("Terms") govern your use of the Gestio web app at gestio.dev and the Gestio iOS app (together, the "Service"). The Service is operated by Infinity Developments FZ-LLC ("Gestio", "we", "us", "our"), a company registered in the United Arab Emirates.

By creating an account, signing in, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Who can use Gestio

You must be at least 18 years old and able to enter into a binding contract. If you are using Gestio on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" then refers to that entity.

Gestio is a business tool intended for organisations to manage their own commercial operations (projects, procurement, finance, CRM, sales). It is not designed for consumer use and is not intended for children under 13.

2. Your account

You are responsible for keeping your login credentials confidential and for all activity that happens under your account.
Notify us promptly at support@gestio.dev if you suspect unauthorised access.
One person, one account. Do not share a single account between multiple humans. For team use, invite additional users as separate seats.
You can delete your account at any time from inside the app (Settings → Account → Delete account) or by writing to support@gestio.dev. Deletion is final — see our Privacy Policy for retention details.

3. Your data, your workspace

Whatever you put into Gestio — customer records, deals, documents, messages, uploaded files — belongs to you. We process it on your behalf. We do not sell it, share it outside the sub-processors listed in our Privacy Policy, or use it to train third-party AI models without your instruction.

You are responsible for having a lawful basis (consent, contract, legitimate interest, etc.) to put personal data about third parties into Gestio, and for complying with the laws that apply to that data.

4. Acceptable use

You agree not to:

Use the Service to violate any applicable law, including anti-spam, data-protection, sanctions, or export-control laws.
Send unsolicited bulk messages, phishing content, or scams through Gestio's messaging integrations (email, WhatsApp, SMS, or any other channel).
Upload or transmit malware, viruses, or anything designed to interfere with the Service or other users.
Attempt to gain unauthorised access to any account, tenant, server, or data that is not yours.
Reverse-engineer, decompile, or attempt to extract the source code of the Service, except to the extent permitted by mandatory local law.
Resell, sublicense, or make the Service available to third parties outside your own organisation without our prior written consent.
Use the Service to harass, defame, or harm any person, or to process data of minors without a lawful basis.

We may suspend or terminate accounts that violate these rules, with or without notice, to protect the Service and its users.

5. AI features

Gestio includes AI-powered features (extraction, drafting, summaries, agents). AI outputs can be wrong, biased, or incomplete. Treat AI output as a suggestion, not a decision.

You review and approve the actions that matter (sending messages, creating documents, applying rates, making payments). The product is designed so that AI stages work for human approval rather than auto-applying it.
You must not rely on AI output for legal, medical, financial, or safety-critical decisions without independent verification.
You are responsible for complying with any restrictions our AI sub-processors place on model use (see the Privacy Policy for the current list).

6. Subscription, fees, and billing

Paid plans are billed in advance on a monthly or annual basis, in the currency and amount shown at checkout. Fees are exclusive of taxes unless expressly stated. You authorise us (or our payment processor) to charge your chosen payment method for the applicable fees.

Renewals. Subscriptions auto-renew at the end of each billing period unless you cancel before renewal from inside the app.
Refunds. Except where mandatory consumer law requires otherwise, fees already paid are non-refundable. We may, at our discretion, issue partial refunds for service interruptions that exceed our published commitments.
Price changes. We may change pricing with at least 30 days' notice, effective on your next renewal.
In-app purchases on iOS. Where you buy a subscription through the Apple App Store, Apple's terms additionally apply and Apple handles billing, refunds, and cancellation; manage those subscriptions in your Apple ID settings.

7. Suspension and termination

You may stop using the Service at any time. Deleting your account from inside the app cancels any paid subscription at the end of the current paid period unless otherwise stated.

We may suspend or terminate your access, with or without notice, if (a) you materially breach these Terms, (b) we are required to by law, (c) continued service creates a security or legal risk, or (d) you fail to pay fees when due after a reasonable cure period. On termination, we will delete or return your data as described in the Privacy Policy.

8. Intellectual property

The Service — including its code, user interface, documentation, trademarks, and content we author — is owned by Gestio and its licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your internal business purposes for the duration of your subscription, subject to these Terms.

You retain all rights in the data you upload. You grant us a limited licence to host, process, and display that data solely as needed to provide the Service to you.

9. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available". We do not warrant that the Service will be uninterrupted, error-free, secure against every possible threat, or that AI output will be accurate. We disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except where such warranties cannot be excluded by law.

10. Limitation of liability

To the maximum extent permitted by law, Gestio (and its directors, employees, and suppliers) will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of the Service.

Our total aggregate liability arising out of or related to these Terms is capped at the greater of (a) the fees you paid us in the twelve months immediately preceding the event giving rise to the claim, or (b) USD 100. Some jurisdictions do not allow these limits; in that case the limits apply to the extent permitted.

11. Indemnity

You will defend, indemnify, and hold Gestio harmless from any third-party claim, loss, or expense (including reasonable legal fees) arising from (a) your violation of these Terms, (b) your misuse of the Service, (c) your violation of any law or third-party right, or (d) the data you upload and process through the Service.

12. Governing law and disputes

These Terms are governed by the laws of the Dubai International Financial Centre (DIFC), United Arab Emirates, without regard to conflict-of-law principles. You and Gestio submit to the exclusive jurisdiction of the DIFC Courts for any dispute that cannot be resolved informally, except that either party may seek injunctive relief to protect intellectual-property rights in any competent court.

Before starting a formal proceeding, please email support@gestio.dev so we have a chance to resolve the issue directly.

13. Changes to these terms

We may update these Terms to reflect product, legal, or operational changes. When we make material changes, we will notify you in-app or by email at least 14 days before they take effect. Continuing to use the Service after the effective date means you accept the updated Terms. If you do not accept, stop using the Service and delete your account before the effective date.

14. Apple-specific terms (iOS app only)

If you use the Gestio iOS app, you acknowledge that these Terms are between you and Gestio only, not with Apple. Apple has no obligation to provide maintenance or support for the app. If the app fails to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation regarding the app. Apple is a third-party beneficiary of these Terms and may enforce them against you.

15. Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy and any order form you sign with us, are the entire agreement between you and Gestio regarding the Service.
No waiver. Our failure to enforce any right or provision is not a waiver of that right.
Severability. If any provision is held unenforceable, the rest of the Terms remain in effect.
Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
